Evernorth XRP Treasury Merger Moves Forward After SEC Filing Takes Effect

Evernorth Holdings has cleared another regulatory milestone in its plan to become a publicly traded XRP treasury company, with the SEC declaring its registration statement effective and shareholders now set to vote on the proposed merger.

  • Armada Acquisition Corp. II shareholders will vote on the transaction on Sept. 30.
  • The effective S-4 allows the merger process to advance but does not represent SEC approval of the deal itself.
  • Evernorth expects the combined company to trade on Nasdaq under the ticker XRPN.
  • The company plans to actively deploy its XRP holdings across lending, liquidity and other blockchain-based financial activities.

SEC Clearance Sets Up the Next Stage of the Merger

Evernorth Holdings and Armada Acquisition Corp. II have reached an important stage in their proposed business combination after the U.S. Securities and Exchange Commission declared Evernorth’s Form S-4 registration statement effective.

The announcement on Aug. 27 allows Armada II to proceed with a shareholder vote scheduled for Sept. 30. Investors who held shares as of Aug. 20 are eligible to vote.

Armada II is a Nasdaq-listed special purpose acquisition company (SPAC) created to merge with Evernorth and bring the XRP-focused treasury business into public markets.

Evernorth CEO and founder Asheesh Birla described the effective registration statement as a significant step toward completing the transaction and building a publicly traded company centered on an actively managed XRP treasury.

However, the SEC’s action should not be interpreted as an endorsement of the proposed merger. The regulator’s declaration simply means the registration statement has become effective, allowing the companies to move ahead with the shareholder process.

Approval from Armada II shareholders and other standard closing requirements are still outstanding. The transaction is currently expected to close either toward the end of the third quarter or during the early part of the fourth quarter.

XRPN Expected to Continue as the Nasdaq Ticker

Armada II currently trades on Nasdaq under the symbol XRPN, and Evernorth expects to retain that ticker if the merger is completed and the combined company meets Nasdaq’s listing requirements.

The proposed business model goes beyond simply accumulating XRP and holding it on a balance sheet.

Evernorth plans to actively deploy its capital through areas including XRP lending, liquidity provision, decentralized finance and other activities across the XRP ecosystem.

The company has attracted backing from several major investors and crypto-industry firms, including Ripple, Arrington Capital, SBI Group, Pantera Capital, Kraken and GSR.

Evernorth Plans an Active XRP Treasury Model

Rather than treating XRP solely as a passive treasury asset, Evernorth intends to use its holdings across financial applications connected to the XRP Ledger.

Potential activities include providing liquidity, participating in lending markets and supporting decentralized financial infrastructure.

The company is also collaborating with t54, a financial technology firm focused on verification, risk management and compliance for AI-driven transactions. Evernorth could use these capabilities to oversee automated treasury operations and manage associated risks on the XRP Ledger.

Recent changes to the transaction’s financing structure have also altered how XRP’s market price will influence the number of shares issued to private-placement investors at closing.

The revised mechanism uses a volume-weighted average XRP price at closing rather than the previously established $2.36 reference price. Depending on XRP’s market value at the time, the structure could result in fewer shares being issued and potentially increase the proportional interest represented by existing Armada II shares.

XRP Ledger Opens Multiple Opportunities

Evernorth’s strategy is closely tied to the capabilities of the XRP Ledger, which supports functions such as token issuance, decentralized trading, escrow and asset tokenization.

That infrastructure gives the company several potential avenues for putting its XRP reserves to work rather than simply holding the asset.

Evernorth has also highlighted institutional infrastructure, including compliance mechanisms, settlement systems, lending products, controlled environments and privacy-focused technology.

The broader objective is to position XRP and the XRP Ledger within the expanding market for regulated, blockchain-based financial services.

XRP and RLUSD Serve Different Roles

Evernorth has also drawn a distinction between XRP and Ripple’s RLUSD stablecoin.

XRP is being positioned as an asset that can support liquidity, collateral, routing and settlement, while RLUSD is designed for transactions requiring a stable dollar-denominated value.

This distinction is important to Evernorth’s treasury strategy because its plans focus on using XRP as a financial asset within an expanding on-chain ecosystem rather than treating it simply as a speculative holding.

The company believes institutional adoption of blockchain infrastructure could accelerate as financial markets increasingly move activities onto public and regulated digital networks.

Sept. 30 Vote Is the Next Major Milestone

The proposed merger now moves toward its most important near-term test: the Armada II shareholder vote on Sept. 30.

If shareholders approve the transaction, Evernorth will still need to complete the remaining closing conditions and satisfy Nasdaq’s listing requirements.

Only after those steps are completed can the combined company begin operating publicly under the XRPN ticker.

For now, the effective S-4 represents meaningful progress for Evernorth’s XRP treasury strategy but the merger has not yet closed, and SEC effectiveness should not be confused with regulatory approval of the transaction’s merits.
