H100 Appoints Peter Warren as CIO After 2,455 BTC Acquisition

H100 Group has appointed veteran markets executive Peter C. Warren as Chief Investment Officer, placing him in charge of the company’s Bitcoin derivatives strategy and risk-management operations just days after the Swedish-listed company nearly tripled the size of its Bitcoin treasury.

The appointment, announced August 12, follows H100’s completion of its acquisition of Norwegian company NSD AS on August 10. The transaction brought 2,455.37 BTC into H100 and increased the company’s total Bitcoin holdings to approximately 3,506.4 BTC, up from roughly 1,051 BTC.

Warren previously managed approximately 2,450 BTC alongside H100 CEO Eirik Grøttum through investment businesses Moonshot AS and PDI AS, which became part of H100 through the NSD transaction.

His appointment now brings that investment-management experience directly into H100’s expanding Bitcoin treasury operation.

Warren to Lead Bitcoin Derivatives and Risk Strategy

As CIO, Warren will oversee the development of H100’s derivatives investment activities and risk-management capabilities.

A key part of his responsibilities will be the derivatives strategy previously operated through PDI. H100 says the strategy is designed to maintain exposure to Bitcoin while attempting to manage downside risk and generate additional cash flow.

The company’s stated objective is to use derivatives and other financial strategies to make its Bitcoin treasury more resilient across different market conditions.

Warren brings more than 45 years of capital-markets experience to the role, having worked as a trader, market maker, fund manager and chief investment officer.

His appointment gives H100 an executive with extensive experience in financial markets at a time when the company is transitioning from a relatively small Bitcoin treasury into a much larger institutional-scale position.

The strategy, however, does not guarantee additional returns or protection against Bitcoin losses. The effectiveness of the derivatives program will depend on its future execution, market conditions and the specific positions H100 ultimately establishes.

H100 Nearly Triples Its Bitcoin Treasury

Warren’s appointment comes immediately after H100 completed its acquisition of NSD AS, the company behind Moonshot and PDI.

The transaction transferred 2,455.37 BTC to H100, increasing its total Bitcoin holdings to approximately 3,506.4 BTC.

H100 did not pay cash for the acquisition. Instead, it issued approximately 790.53 million new shares to the sellers at SEK 1.86 per share.

The share issuance resulted in substantial dilution for existing shareholders, with H100 estimating approximately 70% dilution based on the share count at the time of completion.

The company argued that its basic sats-per-share metric remained unchanged because the acquisition was structured using a Bitcoin-for-Bitcoin valuation. On a fully diluted basis, however, H100 said sats per share increased by approximately 5%.

The transaction was completed at 1.0x mNAV, using a July 31 Bitcoin reference price of SEK 598,926.69, equivalent to approximately $62,900 at the time.

According to H100, NSD had no outstanding financial debt when the acquisition was completed.

Principal seller Geir Harald Hansen also agreed to a 12-month lockup covering his consideration shares, subject to specified exceptions.

H100’s Bitcoin Holdings Are Now Worth More Than $220 Million

Following the acquisition, H100’s enlarged Bitcoin treasury was worth approximately $223 million based on Bitcoin trading near $63,637.

The company has expanded its Bitcoin holdings rapidly since making its first treasury purchase in May 2025.

H100 subsequently raised approximately $54 million to support its Bitcoin treasury strategy and expanded the accessibility of its stock through a cross-listing on the Frankfurt Stock Exchange.

The rapid accumulation has transformed H100 from a relatively small Bitcoin holder into a publicly traded company with a multi-billion-satoshi treasury.

The appointment of Warren signals that H100 is now placing greater emphasis not only on accumulating Bitcoin but also on actively managing the financial risks and potential cash-flow characteristics associated with holding a large digital asset treasury.

H100 Shares Have Rallied Following the Acquisition

H100’s stock had already recorded significant gains before Warren’s appointment was announced.

The company’s shares closed at approximately SEK 1.198 on August 11, representing an 11.55% increase for the session, according to market data.

The stock had also risen approximately 11.99% on August 10, when the company announced the completion of the NSD acquisition.

The consecutive gains came as investors reacted to the substantial expansion of H100’s Bitcoin holdings and the integration of Moonshot and PDI into the company.

The market response illustrates the increasing investor focus on H100’s Bitcoin-per-share metrics and its ability to generate additional value from its treasury strategy.

Shareholders Will Vote on Warren’s Board Seat

Warren’s appointment as CIO is separate from a proposed board appointment that shareholders will consider later this month.

H100 has called an extraordinary general meeting for August 28, where shareholders will vote on a proposal to appoint Warren, Geir Harald Hansen, Donald Ewer and Daniel Nyberg as directors.

The proposal also calls for the re-election of Sander Andersen as chairman.

According to the meeting notice, Warren currently owns approximately 2.47 million H100 shares, including shares issued through the August 10 acquisition.

The notice classifies Warren as dependent on both company management and major shareholders because he is an H100 employee and serves on the board of Hansen’s family office, which is the majority shareholder.

Shareholders must be registered in the Euroclear Sweden system by August 20 and notify H100 of their participation by August 24.

The company also expects the approximately 790.5 million consideration shares issued in connection with the NSD acquisition to begin trading on NGM Nordic SME as soon as practicable.

The Next Challenge Is Managing the Larger Treasury

The expansion of H100’s Bitcoin treasury changes the company’s risk profile significantly.

Accumulating thousands of Bitcoin gives shareholders substantial exposure to the cryptocurrency’s price movements, but it also creates the need for sophisticated treasury management.

Warren’s role will therefore extend beyond simply overseeing Bitcoin holdings. His mandate includes developing derivatives strategies that could potentially generate cash flow and manage downside exposure while maintaining long-term Bitcoin exposure.

The company has not disclosed specific options positions, target yields, hedging ratios or risk limits for the strategy.

That means investors will ultimately need to evaluate the approach based on actual execution rather than stated objectives.

For H100, the immediate transformation is clear: following the NSD acquisition, the company now controls approximately 3,506 BTC, while Warren brings decades of capital-markets experience to the task of managing the expanded treasury.

The next phase of H100’s Bitcoin strategy will depend on how effectively it can combine long-term Bitcoin exposure with active risk management and sustainable cash-flow generation.
